1. Parties to the Agreement
This Service Agreement ("Agreement") is entered into by the following parties:

The individual or entity receiving services ("Client" or "You")
2. Scope of Services
Under this Agreement, the Service Provider agrees to provide the following digital services to the Client (specific scope detailed in the Project Confirmation or Statement of Work):
- •Web Development Services: Including frontend development, backend development, database design, API development
- •Mobile App Development Services: Including iOS apps, Android apps, cross-platform app development
- •Mini Program Development Services: Including WeChat mini programs and other platform mini programs
- •SaaS Subscription Services: Providing cloud-based Software as a Service subscriptions
- •Technical Consulting Services: Providing technical architecture design, code review, technology selection consulting
3. Deliverables
The Service Provider will deliver outcomes as follows:
- •Web Development Projects: Source code, database architecture, deployment documentation, user manual
- •Mobile App Projects: Application packages, source code, app store publishing assistance
- •SaaS Services: Online platform access, API documentation, technical support
- •Consulting Projects: Consulting reports, technical recommendation documents, architecture diagrams
4. Project Timeline
The project timeline will be specified in the Project Confirmation, including:
- •Project start date and estimated completion date
- •Phase milestones and delivery timepoints
- •Client review and feedback time windows
- •Possible extension conditions and procedures
5. Payment Terms
Payment-related terms:
- •Deposit payment before project start (typically 30-50% of total project amount)
- •Milestone payments: Paid in stages according to project progress
- •Final payment: Remaining balance paid after project acceptance
- •Payment methods: Bank transfer, credit card, or other agreed payment methods
- •Late payment will incur late fees, and the Service Provider may suspend services
6. Revisions and Changes
Regarding project revisions and changes:
- •Number of free revisions included in the quote (typically 2-3 rounds)
- •Additional charges for revisions beyond the free allowance
- •Definition of major changes and re-quoting procedures
- •Change requests must be submitted in writing
- •Agreed changes will affect project timeline and costs
7. Acceptance Criteria
Project acceptance terms:
- •Client has an agreed review period after receiving deliverables (typically 5-10 business days)
- •Acceptance criteria based on functional specifications defined in the Project Confirmation
- •Any defects must be submitted in writing by the Client during the review period
- •After acceptance, the project is deemed complete and enters the warranty period
- •Failure to raise objections during the review period is deemed acceptance
8. Warranty Terms
The Service Provider provides the following quality guarantees:
- •Free defect repair period of 30-90 days after project completion
- •Defects caused by the Service Provider will be repaired during the warranty period
- •Warranty does not cover issues caused by client change requests, third-party service changes, or misuse
- •SaaS services provide availability guarantees according to agreed Service Level Agreements (SLA)
9. Intellectual Property Ownership
Regarding intellectual property arrangements:
- •Source code IP for custom development projects transfers to Client upon full payment
- •Service Provider retains rights to use general technical solutions after removing client-specific information
- •SaaS platform architecture and core code remain property of the Service Provider
- •Client retains IP in content and brand materials they provide
- •Both parties are obligated to maintain confidentiality of each other's trade secrets
10. Confidentiality
Both parties agree to:
- •Maintain confidentiality of each other's trade secrets and information obtained during cooperation
- •Not disclose agreement content and project details to third parties
- •Use each other's information only to the extent necessary to perform this Agreement
- •Confidentiality obligations continue after termination of the Agreement
- •Breach of confidentiality obligations will result in corresponding legal liability
11. Agreement Termination
Conditions for termination:
- •Both parties may terminate by mutual agreement
- •Either party may terminate if the other party materially breaches the Agreement
- •Client may terminate at any time but must pay for completed work
- •Service Provider may terminate if Client is overdue by more than 30 days
- •After termination, both parties shall return or destroy each other's confidential information
12. Dispute Resolution
Dispute resolution methods:
- •Both parties shall first attempt to resolve disputes through friendly negotiation
- •If negotiation fails, mediation or arbitration may be chosen
- •Arbitration shall be conducted at the Singapore International Arbitration Centre (SIAC)
- •This Agreement is governed by Singapore law
- •The losing party shall bear reasonable legal fees
